You agree to indemnify and hold harmless River Limited from any claims, losses, liabilities, damages, costs, or expenses arising out of your breach of these Terms and Conditions or misuse of the Platform.
8. Force Majeure
River Limited shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, governmental actions, network failures, or labor disputes.
9. Assignment
You may not assign or transfer any rights or obligations under these Terms and Conditions without prior written consent. River Limited may assign its rights and obligations without restriction.
10. Severability
If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11. No Waiver
Failure by River Limited to enforce any right or provision shall not constitute a waiver of such right or provision.
12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction over any disputes.
